Rights of shareholders

The rights of shareholders of the Company are governed by the BVI Companies Act. As the Company is incorporated in the British Virgin Islands, shareholders’ rights may be different from the rights of shareholders in a UK incorporated company.

Takeover Code

The UK City Code on Takeovers and Mergers does not apply to the Company and there are no rules or provisions relating to mandatory takeover bids in relation to the Ordinary Shares. There are no rules or provisions relating to the Ordinary Shares and squeeze-out and/or sell-out rules, save as provided by section 176 of BVI Companies Act (ability of the shareholders holding 90 per cent. of the votes of the outstanding shares or class of outstanding shares to require the Company to redeem such shares or class of shares) and certain provisions relating to the mandatory cancellation, exchange and conversion of shares on mergers, consolidations, and schemes and plans of arrangement.
